These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, including the Civil Code of Quebec, the Consumer Protection Act (R.S.Q., c. P-40.1), the Act respecting the protection of personal information in the private sector (R.S.Q., c. P-39.1, as amended by Bill 25) and the Personal Information Protection and Electronic Documents Act (PIPEDA).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROSECAPE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE, REGARDLESS OF THE THEORY OF LIABILITY.

In no event shall Rosecape's total cumulative liability to you for all claims arising from the Website or these Terms exceed one hundred Canadian dollars (CAD $100).

The limitations set forth in this section shall not apply to the extent prohibited by the Civil Code of Quebec or other mandatory provisions of applicable law.

12. Indemnification

You agree to indemnify, defend and hold harmless Rosecape and its directors, officers, employees, agents and affiliates from and against any claim, liability, damage, loss, cost or expense (including reasonable legal fees) arising from or related to: (a) your use of the Website; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third party's rights.

13. Modifications to the Website and Terms

Rosecape reserves the right to modify, suspend or discontinue the Website or any part thereof at any time without notice.

Rosecape reserves the right to modify these Terms at any time. Any modification will be posted on the Website with an updated effective date. Your continued use of the Website following such modifications constitutes your acceptance of the updated Terms.

For material modifications, Rosecape will make reasonable efforts to notify users by posting a prominent notice on the Website.

14. Privacy

In accordance with Quebec's Bill 25, we have implemented measures to protect personal information collected through the Website, including the designation of a person responsible for the protection of personal information.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to principles of conflict of laws.

Any dispute arising from these Terms or your use of the Website shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Gatineau, Province of Quebec, Canada.

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation for a period of at least thirty (30) days.

16. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable by a competent court, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and Rosecape with respect to your use of the Website and supersede all prior or contemporaneous agreements, representations or undertakings, whether oral or written.

For clarity, these Terms govern only your use of the Website. Any service you engage with Rosecape will be subject to separate service agreements.

18. Waiver

Rosecape's failure to exercise a right or provision of these Terms does not constitute a waiver of that right or provision.

19. Language

These Terms are available in both English and French. The French version of these Terms is the original version.

In the event of any discrepancy between the French and English versions, the French version shall prevail for French-speaking users and residents of Quebec, in accordance with applicable law.
